1. Acceptance of Terms

By accessing or using Boule Board ("the Service"), operated by Kairos Software AI ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Boule Board is an AI-powered virtual advisory board platform for small business owners. The Service provides AI-generated business advice through specialized advisor personas, business audits, and session records.

3. Nature of the Advisors

The board members presented within the Service — including Dana Mitchell, Marcus Reed, Priya Shah, Lisa Gomez, Tyler Brooks, Robert "Bob" Callahan, Jordan Blake, Mike Turner, Angela Carter, Chloe Bennett, David Chen, Karen Douglas, and Evelyn Hart (collectively, the "Advisors") — are fictional AI personas. They are not real individuals. The biographical details, specialties, career backgrounds, and quantified experience profiles associated with each Advisor are illustrative descriptions of the specialty each persona is modeled on, and do not describe any specific real person.

Responses generated by the Advisors are produced using artificial intelligence, including large language models operated by third-party providers. Outputs are probabilistic, may contain errors or omissions, and should be independently verified before being relied upon for any material business decision.

4. Eligibility

The Service is intended solely for users who are at least 18 years of age and capable of forming a binding contract. By creating an account, you represent that you meet these requirements.

5. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly at support@bouleboard.com of any unauthorized use.

6. AI-Generated Content Disclaimer

Boule Board provides AI-generated advisory content for informational and strategic-discussion purposes only. Nothing produced by the Service — including Advisor responses, Boule Audits, Boule Records, summaries, recommendations, or action items — constitutes legal, accounting, tax, financial, investment, medical, regulatory, employment, real estate, or other professional advice. No attorney-client, fiduciary, or similar professional relationship is formed by your use of the Service.

You are solely responsible for any decision you make, or action you take, based on output from the Service. For advice that carries legal, financial, regulatory, or other material consequences, consult a licensed or credentialed professional with full knowledge of your specific circumstances.

7. Subscription and Billing

Paid plans are billed on a recurring basis (monthly or annually) as selected at checkout. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period, and you will retain access through that period. Refunds are handled on a case-by-case basis.

You retain ownership of the business information you provide. We retain ownership of the Boule Board platform, Advisor personas, prompts, and underlying technology. Boule Records generated during your sessions are yours to use, share, and retain even after your subscription ends.

10. User Inputs

You represent that information you submit to the Service is accurate to the best of your knowledge and is yours to share, and that submitting it does not violate any confidentiality obligation, contract, or law applicable to you. You grant us a limited, non-exclusive license to process your inputs for the sole purpose of operating the Service for you.

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

12. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, Kairos Software AI disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, uninterrupted operation, and freedom from errors. We make no representation or guarantee regarding the accuracy, completeness, timeliness, or suitability of any Advisor response, Boule Audit, or other output, or regarding any business outcome — including revenue, growth, profitability, or any other commercial result — that you may experience.

13. Limitation of Liability

To the maximum extent permitted by law, Kairos Software AI and its officers, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages — or for any loss of profits, revenue, data, goodwill, or business opportunity — arising out of or related to your use of the Service, even if advised of the possibility of such damages.

For direct damages, where recoverable, our total aggregate liability shall not exceed the greater of (a) the total fees you paid to Boule Board in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

14. Indemnification

You agree to defend, indemnify, and hold harmless Kairos Software AI and its affiliates from any third-party claims, damages, or expenses (including reasonable attorneys' fees) arising out of (a) your use or misuse of the Service, (b) your violation of these Terms, or (c) your violation of any law or third-party right in connection with content you submit to the Service.

15. Governing Law and Venue

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws principles. You and Kairos Software AI agree that any dispute arising out of or related to these Terms or the Service shall be brought exclusively in the state or federal courts located in Wake County, North Carolina, and you consent to the personal jurisdiction of those courts.

16. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

17. Termination

We reserve the right to suspend or terminate your account if you violate these Terms. You may terminate your account at any time from your account settings or by contacting support. Upon termination, your right to use the Service ceases immediately. Sections 6, 9, 10, and 12 through 15 survive termination.

18. Severability and Entire Agreement

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Kairos Software AI regarding the Service.
